Majmudar & Partners advised the sellers on the Indian law aspects of this deal, including corporate, foreign exchange, employment, and intellectual property laws, and assisted in drafting, negotiating and finalizing the transaction documents.

Corporate and transaction structuring advisory
Advised on the Indian legal aspects of the acquisition structure, including considerations relating to the Indian subsidiary, transaction mechanics, and implementation from a corporate law perspective. The team worked closely with the client and international counsel to align the India transaction structure with the broader cross-border acquisition framework.
Foreign exchange and regulatory compliance
Provided advice on applicable Indian foreign exchange regulations, including compliance requirements under the Foreign Exchange Management Act (FEMA) and related regulations governing cross-border share transfers, consideration flows, and transaction documentation involving overseas entities and Indian operations.
Drafting, review, and negotiation of transaction documents
Assisted in reviewing, drafting, negotiating, and finalising transaction documents relevant to the India aspects of the deal to ensure that the commercial understanding of the parties was appropriately reflected and that the sellers’ interests were adequately protected.
Employment law advisory
Advised on employment and workforce-related matters concerning the Indian subsidiary, including employee transition considerations, contractual obligations, retention-related matters, and compliance with applicable Indian employment laws and regulations.
Intellectual property advisory
Reviewed and advised on intellectual property ownership, usage rights, assignment-related considerations, and protection of proprietary business assets relevant to the Indian operations and service delivery structure.
Legal due diligence and risk assessment
Conducted legal due diligence on the Indian subsidiary and assisted in identifying legal, contractual, compliance, and operational risks relevant to the transaction, while providing practical recommendations to address and mitigate such risks.
Closing and implementation support
Supported the sellers throughout the closing process, including coordination on transaction deliverables, execution requirements, and implementation-related matters to ensure smooth completion of the transaction.
