Experience

Mr. Anoop Narayanan has been in practice for more than thirteen years, and has extensive experience on technology, intellectual property and finance matters.  He regularly counsels international software, manufacturing, services, insurance, banking, pharmaceutical and healthcare, entertainment, media and telecommunications companies on trademark, copyright, design and patent protection in India.  He has handled large trademark litigations and regularly prosecutes complex patent applications across sectors at Indian patent offices.  He also advises on outsourcing and licensing deals, and has significant experience in drafting telecommunications, data center and related contracts. Mr. Narayanan’s experience includes advising on trade secrets and data protection in India, protection of confidential information at the employee and corporate level, and financing of telecommunications and technology companies.

Specific Matters

  • Representing Wells Fargo Bank, one of the largest American banks, on establishing its technology and IT-enabled services subsidiary in Hyderabad, India. The Indian subsidiary will be established on a campus of approximately 50,000 sq. feet and will employ about 1000 employees.

  • Counsel to Royal Crown Company and Cott Beverages Inc. in a major passing off action to protect the “RC Cola” trademark in India
  • Counsel to Studio Canal and Technicolor on protection of IP rights and trademark issues in India in connection with the Terminator movie
  • Counsel to the Genting Group, Malaysia, 4Life Trademarks LLC, Agile Software Corporation, IMS Health and Givi Srl on trademark and design rights protection in India
  • Counsel to the University of Illinois, CDX Gas LLC, Raytheon Company and Geotechnical Reinforcement, Inc. on patent strategy, filing and prosecution in India
  • Counsel to finance and insurance majors, including United Healthcare, Allstate Insurance Company, IndyMac Bank, BB&T, Cross Country and Discovery, on their outsourcing projects in India
  • Counsel to Microsoft Corporation on its outsourcing transactions with Satyam Computer Services Ltd., Wipro Ltd., etc.
  • Acted for Tasman Networks, Inc. (formerly Tiara Networks), a San Jose, CA-based provider of enterprise routers, and its Indian wholly-owned subsidiary, on the Indian law aspects of its acquisition by NYSE-listed Nortel for $99.5 million in cash.  The deal closed in end-February 2006.
  • Counsel to Infor Solutions, Inc. (formerly Agilisys, Inc.) on its BOT outsourcing transaction with Sonata Software Ltd.
  • Counsel to WNS on its internal restructuring
  • Assisting Smith International, Inc., Arneg SpA and Hydril Company LLC on technology licensing transactions with Indian companies
  • Assisting Varec, Inc. on distribution and trademark matters in India
  • India international law firm. Conducted IP and regulatory due diligence on Idea Cellular Ltd. in its proposed acquisition by Telekom Malaysia
  • Conducted regulatory and finance due diligence on the Hughes Group of companies in India (part of the DirecTV Group) on their acquisition by Apollo Management LLP (Skyterra Communications, Inc.)
  • Represented Electronics For Imaging, Inc. and Electronics For Imaging India Pvt. Ltd. on the sale of the Unimobile business to Verisign, Inc.
  • Structured the investment of Charles Schwab & Co., Inc. into India; advised on corporate, employment and regulatory matters
  • Advised Conax AS on the law relating to conditional access systems in India
  • Advised GTECH Corporation in its online lottery venture with an Indian company
  • Advising on tax and foreign exchange law issues relating to payments of royalty by an Indian company to foreign companies
